Terms of Service

Read before you proceed. By submitting an enquiry, signing a proposal, making a payment, or using any UltoLabs service, you agree to these Terms.

Acceptance of Terms

These Terms constitute a legally binding agreement between you (“Client”) and UltoLabs, registered in Ras Al Khaimah, United Arab Emirates. They govern all services, deliverables, and interactions with UltoLabs. Where a Client is a company, the individual accepting these Terms warrants they have authority to bind that entity.

Services

UltoLabs delivers AI solutions under four sub-brands. All services are subject to these Terms unless a separate written agreement expressly states otherwise.

Ulto Voice  AI voice receptionist — answers, screens, and routes inbound calls around the clock.

Ulto Flow  End-to-end business automation — CRM integrations, lead follow-up, and workflow pipelines.

Ulto Web  Website and chatbot integration — AI-powered chat, lead capture, and site intelligence.

Ulto Studio  AI-generated static and video ad creative for paid media campaigns.

Ulto Gold  Full-suite access — all four services under one engagement.

Eligibility

You must be at least 18 years old and legally capable of entering binding contracts. By engaging UltoLabs you confirm you meet this requirement. UltoLabs reserves the right to decline any engagement at its discretion.

Engagement & Orders

Each engagement is formalised through a written proposal or Statement of Work (“SOW”) setting out scope, deliverables, timelines, and fees. No work begins until the SOW is countersigned and any required deposit is received. Verbal or informal agreements carry no contractual weight. Changes to scope must be agreed in writing before work proceeds.

Payment & VAT

Fees are as stated in the applicable SOW. Invoices are due within the payment terms specified therein. Late payments attract interest at 2% per month on the outstanding balance. UltoLabs reserves the right to suspend active services on accounts more than 14 days overdue.

Where applicable under UAE Federal Decree-Law No. 8 of 2017, VAT at the prevailing rate will be added to all invoices. Clients outside the UAE are responsible for any taxes or duties imposed by their own jurisdiction.

Intellectual Property

All tools, frameworks, proprietary systems, and methodologies developed by UltoLabs remain the exclusive property of UltoLabs — including any reused across multiple client engagements.

Final deliverables created specifically for a Client transfer to that Client upon receipt of full payment, unless the SOW states otherwise. Pre-existing UltoLabs IP embedded in those deliverables is licensed to the Client on a non-exclusive, non-transferable basis for the agreed purpose only.

AI Systems & Data

UltoLabs operates AI systems that may process business information, call recordings, customer data, and behavioural inputs on behalf of the Client. By engaging our services, you authorise this processing for the sole purpose of delivering the contracted service.

UltoLabs does not sell, rent, or commercialise Client data. Data handling is governed by our Privacy Policy and, where applicable, by a separate Data Processing Agreement. Clients remain responsible for ensuring they have the right to share any data provided to UltoLabs.

Your Obligations

As a Client, you agree to:

–   Provide accurate information required for service delivery in a timely manner.

–   Obtain all necessary consents before sharing third-party personal data with UltoLabs.

–   Use UltoLabs services in compliance with applicable UAE laws and regulations.

–   Not reverse-engineer, resell, or sublicense any UltoLabs technology or deliverable.

–   Not use our services for unlawful, harmful, or deceptive purposes.

Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the engagement — including pricing, methodologies, client data, and business strategies. This obligation survives termination for three years. It does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Disclaimers

UltoLabs provides services on an “as-is” basis. We do not guarantee specific business outcomes — including revenue growth, lead conversion rates, or call handling results — as these depend on factors outside our control. AI systems may occasionally produce imperfect outputs; UltoLabs will use reasonable efforts to correct material errors promptly.

Limitation of Liability

To the fullest extent permitted by UAE law, UltoLabs’ total liability arising from any engagement shall not exceed the total fees paid by the Client in the three months preceding the claim. UltoLabs is not liable for indirect, consequential, or loss-of-profit damages under any circumstances.

Indemnification

You agree to indemnify and hold UltoLabs harmless from any claims, losses, or damages arising from your breach of these Terms, your misuse of our services, or any data you provide that infringes a third party’s rights.

Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control — including natural disasters, government actions, infrastructure outages, or AI platform disruptions. Affected obligations are suspended for the duration of the event.

Termination

Either party may terminate an engagement by providing 30 days’ written notice, unless the SOW specifies otherwise. UltoLabs may terminate immediately if a Client breaches these Terms materially, fails to pay, or engages in conduct that could harm UltoLabs or third parties. Fees for work completed prior to termination remain due.

Governing Law

These Terms are governed by the laws of the United Arab Emirates, applicable in Ras Al Khaimah. Any disputes are subject to the exclusive jurisdiction of the courts of Ras Al Khaimah.

Amendments

UltoLabs may update these Terms at any time. Material changes will be communicated via our website or direct notification. Continued use of our services after an update constitutes acceptance of the revised Terms.
